Company N entered into an agreement to sell SCIC's shares to Company H. Company H transferred a deposit of 1,000,000,000 VND (one billion dong) to Company N's account at bank D. However, the bank deducted the amount from this account to offset Company N's outstanding debt. Meanwhile, Company N carried out a merger process with Company S, resulting in a change in their business entity type. As the share purchase agreement was not executed, Company H filed a lawsuit to reclaim the deposit money.
